These Terms of Service govern your access to and use of ReachNG's products, services, software, APIs, website, and communication infrastructure provided by Stallion Digitals Limited ("ReachNG", "we", "our", or "us").
"Services" means all products and services offered by ReachNG, including but not limited to SMS delivery, OTP services, Voice services, SIP/VoIP services, IVR solutions, automated dialers, APIs, reporting, analytics, AI-powered insights, integrations, and related communication infrastructure.
"Customer" means any individual, company, institution, organization, or entity using the Services.
"Account" means a registered ReachNG account.
"Platform" means the ReachNG website, dashboard, APIs, applications, and related infrastructure.
You represent and warrant that:
ReachNG provides communication and engagement infrastructure including:
ReachNG reserves the right to modify, suspend, discontinue, replace, limit, or introduce any feature, service, API, integration, route, or functionality at any time without liability.
Customers agree to:
Customers are solely responsible for activities conducted through their accounts.
Customers shall not use the Services for:
ReachNG reserves the right to suspend, investigate, restrict, or terminate accounts engaged in prohibited activities without notice.
The Services depend on third-party telecommunications carriers, network operators, cloud providers, internet service providers, and other external systems.
ReachNG shall not be liable for failures, interruptions, delays, inaccuracies, or disruptions caused by third-party providers.
ReachNG does not guarantee:
Delivery and performance may be affected by mobile network operators, carrier restrictions, internet disruptions, regulatory actions, end-user device limitations, third-party outages, and force majeure events.
ReachNG shall not be liable for failed, delayed, blocked, filtered, or undelivered communications.
Customers agree to pay all fees applicable to their use of the Services.
All charges are due immediately unless otherwise agreed in writing.
ReachNG reserves the right to suspend Services where payments are overdue or account balances are insufficient.
Taxes, duties, levies, and government-imposed charges may be added where applicable.
ReachNG reserves the right to modify, revise, update, increase, decrease, or introduce pricing, fees, charges, billing structures, service plans, routing costs, carrier fees, and any other charges at any time.
Unless otherwise agreed in a separate written agreement, updated pricing may become effective immediately upon publication on the ReachNG website, dashboard, billing portal, quotation, invoice, API documentation, or any official communication channel.
Continued use of the Services constitutes acceptance of revised pricing.
Telecommunications pricing may be affected by carrier charges, regulatory requirements, government fees, taxes, exchange rate fluctuations, and third-party costs.
Where a separate enterprise agreement exists, the pricing terms of that agreement shall prevail during its specified term.
Funds deposited into ReachNG accounts are non-refundable except where required by applicable law or expressly approved by ReachNG.
Account balances may only be used to purchase ReachNG Services.
ReachNG reserves the right to deduct applicable service charges, taxes, regulatory fees, carrier fees, adjustments, reversals, chargebacks, and fraud-related losses.
Unused promotional credits, bonus balances, or complimentary credits may expire at ReachNG's discretion and have no cash value.
All software, APIs, trademarks, branding, technology, documentation, content, and intellectual property associated with ReachNG remain the exclusive property of Stallion Digitals Limited.
No ownership rights are transferred to Customers.
ReachNG implements commercially reasonable administrative, organizational, and technical safeguards designed to protect customer information.
However, no system can guarantee absolute security. Customers acknowledge and accept the inherent risks associated with electronic communications and internet-based services.
ReachNG may provide AI-generated reports, recommendations, predictions, analyses, summaries, and operational insights.
Such outputs are provided for informational purposes only. ReachNG makes no warranty regarding the accuracy, completeness, reliability, or suitability of AI-generated outputs.
Customers remain solely responsible for decisions made using such information.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
ReachNG disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, reliability, non-infringement, and error-free operation.
To the fullest extent permitted by law, ReachNG, Stallion Digitals Limited, its directors, officers, employees, contractors, affiliates, and partners shall not be liable for loss of profits, revenue, business opportunities, customers, goodwill, anticipated savings, data, business interruption, or any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Services.
In no event shall ReachNG's aggregate liability exceed the total amount paid by the Customer to ReachNG during the three (3) months immediately preceding the event giving rise to the claim.
Customer agrees to indemnify, defend, and hold harmless ReachNG, Stallion Digitals Limited, its officers, directors, employees, contractors, affiliates, and partners from any claims, actions, liabilities, losses, penalties, fines, damages, costs, and expenses arising from Customer's use of the Services, communications, regulatory violations, data protection violations, intellectual property claims, negligence, misconduct, or unlawful activities.
ReachNG shall not be liable for delays, interruptions, failures, or service degradation resulting from circumstances beyond its reasonable control, including natural disasters, telecommunications failures, internet outages, power failures, cyberattacks, government actions, civil unrest, labor disputes, epidemics or pandemics, and third-party provider failures.
ReachNG may suspend, restrict, investigate, or terminate any account at its sole discretion where these Terms are violated, fraud is suspected, security or regulatory concerns arise, payment obligations are not met, or Platform integrity is threatened.
ReachNG shall not be liable for losses resulting from suspension or termination.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
The parties agree to first attempt to resolve disputes through good-faith negotiations. If negotiations fail, disputes shall first be submitted to mediation before litigation may be commenced.
Nothing in this section prevents ReachNG from seeking injunctive relief or pursuing debt recovery actions where necessary.
ReachNG reserves the right to modify, amend, replace, or update these Terms at any time. Updated Terms become effective upon publication on the ReachNG website or Platform.
Continued use of the Services constitutes acceptance of revised Terms.
